Our firm has developed an extensive health care practice both in the United States and abroad.  We actively represent pharmaceutical, biotech and medical companies; managed care organizations; hospitals; and other health care-related companies in an array of corporate transactions. We also advise investment bankers and investors in the financing of such companies and in mergers and acquisitions among participants in the health care industry.

Over an extended period of time, on behalf of a significant number of pharmaceutical and biomedical clients, the firm has structured, negotiated and consummated numerous acquisitions, ranging from small private company purchases to multibillion dollar public company business combinations.  We have structured and negotiated many successful joint ventures, including product development partnerships, sales and marketing joint ventures and strategic ventures of a broader scope.  In collaboration with the firm's Litigation and Business Reorganization and Restructuring Departments, we have, on several occasions, developed unique structures to facilitate reorganizations and acquisitions of companies with significant unresolved product liability issues.  We have also been actively involved in a variety of financing mechanisms for pharmaceutical companies, including traditional public debt and equity offerings, Rule 144A transactions, and private placements.  The firm's representation of pharmaceutical clients has also involved numerous environmental issues, as well as litigation in a broad variety of contexts.
